  • Advertising performance or ROI

Digital marketing outcomes depend on multiple external factors beyond our control such as competition, market behavior, platform algorithm updates, and client responsiveness.

5. Client Responsibilities

Clients agree to:

  • Provide accurate, complete, and timely information

  • Share required assets (content, credentials, approvals) on time

  • Respond to queries and approvals within reasonable timelines

  • Ensure that all provided content is lawful and non-infringing

Delays caused by missing inputs or approvals may impact project timelines and results.

 

6. Payment Terms

  • All fees are payable as per the agreed proposal or invoice

  • Payments must be made in advance unless otherwise specified

  • Late payments may result in service suspension or termination

  • All prices are exclusive of applicable taxes unless mentioned

Failure to clear dues may lead to withholding of deliverables or access.

 

7. Refund & Cancellation Policy

  • Payments once made are non-refundable, unless explicitly stated in writing

  • Project cancellations after commencement are not eligible for refunds

  • Monthly retainers require prior written notice for discontinuation

  • No refunds for partially completed or ongoing work

Exceptions, if any, are solely at Bromephy’s discretion.

8. Intellectual Property Rights

All tools, strategies, frameworks, templates, AI models, code libraries, and proprietary methods used by Bromephy remain its intellectual property unless otherwise agreed.

 

8.2 Client IP

Upon full payment, clients receive rights to final deliverables created specifically for them, excluding third-party tools, licenses, or pre-existing assets.

Unauthorized reproduction, resale, or redistribution is strictly prohibited.

9. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business strategies

  • Financial details

  • Login credentials

  • Client data

  • Trade secrets

Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

 

10. Third-Party Platforms & Tools

Bromephy may use or integrate third-party platforms such as:

  • Google, Meta, LinkedIn, or other ad platforms

  • CRM software

  • Hosting providers

  • AI tools and APIs

Bromephy is not responsible for downtime, policy changes, data loss, or limitations imposed by third-party platforms.

 

11. Limitation of Liability

To the maximum extent permitted by law:

  • Bromephy shall not be liable for indirect, incidental, or consequential damages

  • Liability shall not exceed the total amount paid by the client for services

  • We are not responsible for loss of revenue, data, reputation, or business interruption

Use of our services is at your own risk.

 

12. Indemnification

You agree to indemnify and hold harmless Bromephy, its founders, team members, and partners from any claims, damages, losses, or legal expenses arising from:

  • Misuse of our services

  • Violation of laws or third-party rights

13. Service Suspension & Termination

Bromephy reserves the right to suspend or terminate services if:

  • Payments are overdue

  • Client violates these Terms

  • Illegal, unethical, or harmful activities are identified

  • Abuse or harassment of team members occurs

Termination does not waive payment obligations.

 

14. Website Usage Terms

You agree not to:

  • Attempt unauthorized access to our systems

  • Copy or scrape website content

  • Introduce malware or harmful code

  • Use the website for unlawful purposes

Violation may lead to legal action.

15. Data Protection & Privacy
